General terms

Access to DigestaNCode services requires that you have the legal capacity to enter into agreements and that your use is lawful. You confirm that you are authorized to act on behalf of any organization you represent when requesting services.

Persons under 18 must obtain consent from a parent or legal guardian before engaging with our services. We may require proof of authorization where appropriate.

You shall not use our services to facilitate unlawful activity, infringe third-party rights, or bypass regulatory requirements. Consultation outputs are for lawful, disclosed purposes only.

Some services, advice, or software licensing options may be restricted by local law or export controls. It is your responsibility to ensure compliance with applicable laws in your jurisdiction.

Certain DigestaNCode services require user accounts. You are responsible for maintaining accurate account information and for all activity under your account.

Provide truthful, complete, and current information when creating or updating an account. Inaccurate information may hinder our ability to provide competent legal advice.

Protect your account credentials and notify us immediately of any suspected unauthorized access. We employ reasonable security measures but cannot accept liability for compromised credentials resulting from user negligence.

Accounts and associated access rights are personal and non-transferable unless expressly authorized in writing by DigestaNCode.

If you suspect your account has been compromised, contact support immediately so we can take measures to secure the account and help mitigate potential harm.

We reserve the right to suspend or terminate accounts that violate these Terms, pose security risks, or where required by law or court order.

DigestaNCode provides consultancy in technology law, software licensing, contract drafting, regulatory compliance, and dispute advisory. Services are delivered through written advice, meetings, workshops, and documentation tailored to client needs.

We may modify service offerings, methodologies, or delivery formats to reflect regulatory developments and market needs. Clients will be notified of material changes affecting ongoing engagements.

Service availability may be subject to resource constraints, court holidays, or regulatory developments. We will communicate expected timelines and any delays with professionalism and reasonable promptness.

Clients may provide documents, source code, license agreements, or other materials necessary for consultancy. Such submissions are referred to as 'Client Materials'.

You retain ownership of your Client Materials. Submission to DigestaNCode does not transfer underlying ownership rights unless an explicit written agreement specifies otherwise.

By submitting Client Materials you grant DigestaNCode a non-exclusive, revocable license to use those materials solely for the purpose of providing the requested services and for archival purposes necessary to support the engagement.

You are responsible for the legality of Client Materials and must ensure that disclosure to DigestaNCode does not violate confidentiality obligations owed to third parties without appropriate authorization.

Upon termination of services, you may request return or secure deletion of Client Materials. We will follow the agreed retention schedule unless retention is required by law for a stated period.

All intellectual property rights in deliverables created by DigestaNCode remain with DigestaNCode unless explicitly assigned in a written agreement. Clients receive a license to use deliverables for agreed purposes once payment obligations are fulfilled.

• You shall not reproduce, modify, or redistribute DigestaNCode deliverables beyond the scope of the license.
• Reverse engineering or decompiling of proprietary tools or methodologies provided by DigestaNCode is prohibited without explicit written consent.
• All activity, logos, and service marks remain the property of their respective owners; use requires prior written permission.

Advice provided by DigestaNCode is informational and based on facts and documentation you supply. Legal and regulatory outcomes depend on many factors; our advice does not constitute a substitute for judicial rulings or regulatory decisions.

To the extent permitted by law, DigestaNCode's liability for direct losses arising from negligence in performing services is limited to fees paid for the specific engagement. We are not liable for consequential, incidental, or punitive damages or for loss of benefit, data, or reputation.

We may recommend or integrate third-party software, platforms, or advisors. Use of third-party services is subject to their respective terms and privacy policies. DigestaNCode is not responsible for third-party performance or compliance.

Either party may terminate the engagement in accordance with the termination provisions of the relevant engagement letter or subscription agreement. Termination does not affect accrued rights or obligations.

On termination, outstanding fees become immediately due. We will deliver any completed work products and, if requested, return or securely delete Client Materials in accordance with the agreed retention policy.

We process personal data in accordance with our Privacy Policy. Client confidentiality and secure handling of personal data are core practices. Specific data processing terms are included in engagement agreements where necessary.

Notices under these Terms must be sent to the contact details provided in the engagement agreement or to legal@Digest aNCode.link as designated for formal communications. Routine correspondence may be sent to the email address you provide during onboarding.

We may update these Terms of Service to reflect changes in law or our services. Material changes will be notified to clients prior to taking effect. Continued use of services after changes are published constitutes acceptance.

These Terms are governed by the laws of Malaysia. Where a specific matter involves cross-border elements, applicable choice of law may be determined by the relevant engagement agreement.

We seek to resolve disputes amicably through negotiation or mediation. Where disputes cannot be resolved, they will be referred to the competent courts or arbitration forum agreed in the engagement agreement.
